Does a Belfast UGC contract trade into the EU under the Windsor Framework?
Northern Ireland UGC services trading into the EU sit under the Windsor Framework, which keeps Belfast contracts in both the UK and EU markets.
What to take away
- The Windsor Framework covers goods and named regulatory areas. It does not give a Belfast UGC contract an automatic EU services passport.
- Governing law, VAT place of supply and the data transfer clause decide whether the deal works.
- Business-to-business UGC services are usually supplied where the customer belongs, so the EU client accounts for VAT under the reverse charge.
- EU audience data handled from Belfast needs a documented transfer mechanism, and UK adequacy is time-limited.
What the Windsor Framework does for a Belfast UGC contract
For services, no. The Framework keeps Northern Ireland aligned with EU rules on goods and in listed regulatory areas. Services sit outside it, so a Belfast studio selling UGC production is selling a UK service.
Establishment and customer location decide the rest. The client's own member state rules, including mandatory consumer protection, still reach the content you make for them.
The Framework documents published in February 2023 and the Northern Ireland Act 1998 set the backdrop. Read the Act's devolution provisions for the statutory footing.
Choosing governing law for an EU-facing UGC contract
Governing law and jurisdiction are separate choices, so name both.
Choosing governing law
What it buys
- Northern Ireland law, Belfast venue
- Local courts, lower cost for a Belfast agency
- English law, London venue
- Wider precedent for UK-EU work
- The client's member state law
- Easier enforcement for the buyer
What to check
- Northern Ireland law, Belfast venue
- The client's mandatory rules can override parts of the deal
- English law, London venue
- Travel and counsel costs if a dispute starts
- The client's member state law
- You need local advice before signing
Most Belfast agencies keep Northern Ireland law. The same production service can sit under several contract types, and the site's guide to UGC marketplaces: seven contract categories with no model clauses shows where liability and VAT shift.
VAT and place of supply when the client is in the EU
HMRC's place of supply of services guidance, Notice 741A, holds the tests. Business-to-business supplies are generally supplied where the customer belongs.
VAT and place of supply
| Customer | Place of supply | Contract wording |
|---|---|---|
| EU business | The customer's member state | Reverse charge note plus a validated EU VAT number |
| EU consumer | Generally the supplier's place, the UK | UK VAT treatment, plus any registration the member state requires |
| UK business | The UK | Standard UK VAT invoice |
The Windsor Framework does not change these VAT rules. Selling to a Dublin brand does not make a Belfast studio an EU supplier for VAT.
VAT place of supply test
Who is the customer?
Business -> customer's country, reverse charge
Consumer -> supplier's country, EU VAT rules
Data transfers when Belfast creators handle EU audience data
German landing-page emails, analytics and submissions are EU personal data, and the UK is a third country for those purposes. The ICO guidance on international transfers lists the tools.
The European Commission adopted UK adequacy decisions on 28 June 2021, with a term to 27 June 2025 and an option to extend by four years. Check the live position before relying on adequacy alone.
Where adequacy does not cover the flow, the EU exporter uses the standard contractual clauses in Commission Implementing Decision (EU) 2021/914. An onward export from Belfast uses the UK International Data Transfer Agreement. Name the mechanism in the contract.
The site's walkthrough of lawful basis to deletion maps consent, access and erasure across a single commission, which is the order a client's data schedule will follow.
Example: a Belfast studio and a Berlin skincare brand
A Belfast studio takes a six-month UGC retainer from a Berlin skincare brand. It produces short-form video, runs an EU creator network and holds emails from the brand's German landing page.
Governing law is Northern Ireland law, with the courts of Northern Ireland as venue. The supply is business to business, so the invoice carries this wording:
VAT to be accounted for by the customer under the reverse charge, Article 196 of Council Directive 2006/112/EC. Customer USt-IdNr recorded and validated before invoicing.
Emails move to Belfast under the EU adequacy decision, with module two of the 2021 standard contractual clauses named as the fallback. A named data owner deletes them after twelve months.
Belfast EU-facing contract checklist
- Identify the market
- Identify the tax treatment
- Identify the data rules
- Write the contract
- Name Northern Ireland governing law
- Add ICO-compliant transfer mechanism
Check before you sign
- Confirm the customer is a business or a consumer, and which member state it belongs to.
- Name the governing law and the dispute venue.
- Record the client's validated EU VAT number as reverse charge evidence.
- List every category of EU audience data the creator will handle.
- Name the transfer mechanism and the fallback if adequacy lapses.
- Set a deletion date and a named data owner.
The site's guide to regulations, scope and review gates shows where the ASA, CMA and ICO boundaries fall for UGC work.
Common questions
Does dual market access make the UK an EU supplier for services?
No. It describes regulatory alignment and market access inside the Framework's scope. VAT and contract law still follow establishment and customer location.
Can a Belfast contract name EU law and still be enforced at home?
Yes, courts in Northern Ireland can apply a foreign governing law, subject to mandatory rules and public policy. Enforcement abroad is a separate question that depends on the Hague Choice of Court Convention where it applies.
What happens if UK adequacy lapses?
The EU exporter moves to the 2021 standard contractual clauses and completes a transfer risk assessment. Pre-agree that switch in the contract so the flow does not pause.
Which VAT number belongs on the invoice?
For a business-to-business supply, show and validate the client's EU VAT number as evidence for the reverse charge.
